Code of Business Conduct

The Board of Directors of TETRA Technologies, Inc. has adopted a Code of Business Conduct (the “Code”).
The Code applies to TETRA, all of its subsidiaries, branches and the branches of its subsidiaries, ventures, and affiliates (collectively, “TETRA” or the “Company”) and summarizes the high standards of ethical and legal behavior that must guide the actions of all employees, officers, directors, in-house contractors, temporary agency personnel, and secondees (collectively, “Company Personnel;” individually, “you”).

By clearly outlining the key principals, standards, and legal requirements that must guide your conduct, the Code is designed to serve as a valuable resource to assist you in making the right choices and decisions in the performance of your job. In addition, the Code contains information about where to find more detailed information about TETRA’s policies and procedures related to particular topics.

All Company Personnel, without exception, must
UNDERSTAND: You are expected to read and understand the standards contained in the Code and to participate in training as required by TETRA.

COMPLY: You must strictly adhere to both the language and the spirit of the Code. Ethical behavior and compliance with (i) the Code of Business Conduct, (ii) all other applicable TETRA policies and procedures, and (iii) all laws, rules, and regulations that apply to TETRA’s operations are conditions of employment.

REPORT: Company Personnel are also expected to be alert to, and promptly raise, any concerns or report any violation or potential violation of the Code or any applicable law, rule, or regulation in accordance with TETRA’s procedure for reporting violations, as described in the Code.

BE ACCOUNTABLE: Those who violate this Code or any applicable law, rule, or regulation – or who knowingly permit another to do so without reporting it according to TETRA’s policies – are subject to disciplinary action up to and including termination of employment.
TETRA’s Non-Retaliation Policy

TETRA will not tolerate any reprisal or retaliation against a person who in good faith reports a known or suspected violation of the Code, any TETRA policy, or any applicable law, rule, or regulation or participates in an investigation involving possible misconduct.

How to Make a Report

We follow an “open door” policy at TETRA, and believe that problems are best and most quickly resolved by speaking directly with management, beginning with your immediate supervisor. We recognize, however, that not everyone will be comfortable addressing problems or violations in this manner. As such, TETRA has established a number of other reporting methods.

If you have a concern about unethical, illegal, or irresponsible activity, you may report it by any of the following methods:

These telephone numbers are available 24 hours a day, 7 days a week. When you make a report online or by calling one of these telephone numbers, you may identify yourself or remain anonymous, if permitted under local law.
